By placing an order for or accepting delivery of products, technical data, or software (the “Products”) from the seller (hereinafter “Company”), the customer or recipient (“Buyer”) acknowledges and agrees that all transactions and interactions are subject to the following terms:
- Entity Status & Compliance: The Buyer is not, directly or indirectly, owned 50% or more, individually or in the aggregate, by any entity listed on the U.S. Bureau of Industry and Security (BIS) Entity List, Military End-User (MEU) List, Specially Designated Nationals and Blocked Persons (SDN) List, or any other applicable restricted party lists.
- Adherence to Trade Laws: The Buyer shall strictly comply with all applicable import, export, and trade sanction laws of the United States, China (including Hong Kong), the European Union, Japan, and any other relevant jurisdiction.
- Prohibited Destinations: The Buyer will not sell, export, re-export, transfer, or divert the Products to any country, region, or entity subject to comprehensive trade embargoes or sanctions (including, but not limited to, Cuba, Iran, North Korea, Syria, and other restricted regions).
- End-Use & End-User Restrictions: The Products shall be used strictly for civilian end-uses and will not be utilized in connection with any military end-use, weapon proliferation, or other prohibited activities under applicable laws.
- Licensing Requirements: The Buyer is solely responsible for independently obtaining all required government licenses or permits necessary for the export, re-export, or import of the Products.
- Limitation of Liability: The aggregate liability of the Company (whether in contract, for negligence, breach of statutory duty, or otherwise howsoever) to the Buyer for any loss or damage of whatsoever nature and howsoever caused shall be limited to and in no circumstances shall exceed the price of the Goods.
- Survival of Terms: The obligations, commitments, and limitations set forth in this disclaimer shall survive the placement of an order, fulfillment, expiration, or termination of any underlying transaction, purchase order, agreement, website interaction, or commercial relationship between the parties.
